1. Agreement to Terms

By accessing or using NetrickDrive's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services

NetrickDrive provides digital services including but not limited to:

• Web development and design
• Graphic design and branding
• Custom software development
• Digital marketing services
• Website maintenance and support

Specific terms for each project will be outlined in a separate proposal or contract agreed upon by both parties.

3. Project Terms

Proposals and Contracts

All projects require a signed proposal or contract before work begins. The proposal will outline scope, timeline, deliverables, and payment terms.

Changes and Revisions

Minor revisions are typically included in the project scope. Significant changes or additions may require additional fees and timeline adjustments, which will be communicated and agreed upon before implementation.

Client Responsibilities

Clients are responsible for:

• Providing necessary content, assets, and information in a timely manner
• Reviewing and providing feedback within agreed timeframes
• Obtaining necessary rights for any provided materials
• Making payments according to the agreed schedule

4. Payment Terms

• Payment terms are specified in individual project proposals
• Typical structure: 40% upfront, 30% at midpoint, 30% upon completion
• Invoices are due within 14 days unless otherwise specified
• Late payments may incur additional fees and project delays
• We accept bank transfers, M-Pesa, credit cards, and PayPal

5. Intellectual Property

Client Materials

Clients retain ownership of all materials they provide (logos, content, images, etc.). Clients warrant they have the right to use such materials.

Deliverables

Upon full payment, clients receive ownership of the final deliverables as specified in the project agreement. NetrickDrive retains the right to display work in our portfolio unless otherwise agreed.

Third-Party Components

Some projects may include third-party components (fonts, plugins, stock images) which are subject to their respective licenses.

6. Confidentiality

We treat all client information as confidential. We will not share your business information, strategies, or proprietary data with third parties without your consent, except as required by law.

7. Warranties and Liability

We strive to deliver high-quality work but provide services "as is" without warranties of any kind. Our liability is limited to the amount paid for the specific service in question.

We are not liable for:

• Issues arising from client-provided materials
• Third-party service failures (hosting, payment processors, etc.)
• Indirect, incidental, or consequential damages
• Loss of data or business interruption

8. Termination

Either party may terminate a project with written notice. In case of termination:

• Client pays for all work completed up to termination date
• Client receives all completed deliverables upon payment
• Deposits are non-refundable unless otherwise agreed

9. Website Use

When using our website, you agree not to:

• Use the site for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Transmit malicious code or interfere with site functionality
• Collect user information without consent

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya. Any disputes shall be resolved through arbitration in Nairobi, Kenya.
